1. Introduction
Welcome to Amplify Digitize, a brand of Prathamesh Enterprises (GST: 27AFAPT8304F1ZH), registered in Thane, Maharashtra, India. These Terms of Service ("Terms") govern your access to and use of amplifydigitize.in and all associated services we provide. By accessing our website, submitting a project inquiry, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree with any part of these Terms, please discontinue use of our website and services immediately. We reserve the right to update or modify these Terms at any time, and continued use of our services following any changes constitutes your acceptance of the revised Terms.
2. Definitions
For clarity throughout this document, the following terms carry the meanings defined below:
- "Services" means Shopify store development, performance marketing, conversion rate optimisation (CRO), search engine optimisation (SEO), WhatsApp automation, landing page design, and any other digital marketing or consulting services provided by Amplify Digitize.
- "Website" means amplifydigitize.in and any of its subdomains or linked pages operated by us.
- "Content" means all text, graphics, code, media assets, reports, and materials created or delivered by Amplify Digitize as part of any engagement.
- "Client" or "You" means any individual, business, or organisation that uses our website, engages our services, or enters into a project agreement with us.
- "Agreement" means any signed proposal, statement of work (SOW), project contract, or retainer agreement entered into between you and Amplify Digitize.
- "Deliverables" means specific outputs produced under a project agreement, including but not limited to website designs, ad creatives, strategy documents, and reports.
3. Services Overview
Amplify Digitize provides comprehensive end-to-end ecommerce growth and digital marketing solutions for D2C brands, startups, and established businesses across India. Our core service areas include:
- Shopify Development: Custom store design, theme development, app integration, speed optimisation, and ongoing store management.
- Performance Marketing: Paid advertising on Google, Meta (Facebook & Instagram), and YouTube — including campaign setup, creative, optimisation, and reporting.
- Landing Pages & CRO: High-converting landing page design, A/B testing, funnel analysis, and conversion optimisation strategies.
- Digital Marketing: SEO, content marketing, email campaigns, and social media management.
- WhatsApp Automation: Automated customer communication, broadcast campaigns, and CRM integrations via WhatsApp Business API.
- Consulting & Strategy: Digital strategy, brand positioning, channel planning, and ecommerce growth advisory.
The specific scope of services applicable to your engagement will be defined in your individual Agreement or Statement of Work.
4. Eligibility
To use our services, you must be at least 18 years of age. If you are entering into an agreement on behalf of a company or organisation, you represent and warrant that you have the legal authority to bind that entity to these Terms. Amplify Digitize reserves the right to refuse service to anyone at its sole discretion.
5. Service Engagement Process
All client engagements follow a structured process to ensure clarity and mutual alignment:
- Discovery & Proposal: We begin with a consultation to understand your goals, after which we provide a detailed proposal outlining scope, timelines, and pricing.
- Agreement & Onboarding: Upon acceptance and advance payment, a formal Agreement is signed and the project is initiated.
- Execution & Delivery: Work is carried out as per the agreed scope. Regular updates and milestone reviews are shared with the client.
- Scope Changes: Any changes to the agreed scope must be requested in writing. Additional work outside the original scope will be quoted and billed separately. Verbal approvals are not binding.
6. Pricing & Payments
All pricing is quoted in Indian Rupees (INR) and is exclusive of applicable taxes unless stated otherwise. Our standard payment terms are:
- Projects: 50% advance payment required before work begins; remaining 50% due upon project completion before final delivery.
- Monthly Retainers: Retainer fees are invoiced and must be paid in advance at the start of each billing cycle.
- Advertising Campaigns: Ad budgets (for Google, Meta, etc.) and management fees must be paid in advance before campaigns are launched or continued.
- Late Payments: Overdue invoices may attract a late payment charge of 2% per month on the outstanding amount. We reserve the right to pause or suspend services until outstanding dues are cleared.
- Taxes: All fees exclude GST (Goods and Services Tax) and any other applicable government levies, which will be charged additionally as per prevailing rates.
7. Refund Policy
Given the nature of professional services, refunds are subject to the following conditions:
- Work already performed — including research, planning, design, development, or campaign management — is non-refundable.
- For ongoing ad campaigns, unused ad budget (net of management fees already incurred) may be refunded if a campaign is cancelled before the billing period ends, subject to approval.
- No refunds are issued for retainer periods where work has commenced.
- All refund requests must be submitted in writing within 7 days of the disputed charge. Refund eligibility and amounts are determined at the sole discretion of Amplify Digitize.
8. Client Responsibilities
A successful engagement requires active participation from the client. You agree to:
- Provide all required content, brand assets, credentials, and platform access in a timely manner.
- Review and approve deliverables within agreed timelines. Delays in approvals may result in project timeline extensions.
- Ensure you hold the necessary rights and licences for all materials, content, and assets you provide to us.
- Comply with all applicable laws, platform policies (Google, Meta, Shopify, etc.), and regulatory requirements.
- Maintain the confidentiality of any access credentials or proprietary information shared during the engagement.
9. Intellectual Property
Upon receipt of full and final payment for a project, ownership of the custom deliverables created specifically for that project transfers to you. However, the following remain the exclusive property of Amplify Digitize at all times:
- Proprietary frameworks, processes, templates, and methodologies used in delivering services.
- Pre-existing tools, code libraries, plugins, or third-party components incorporated into deliverables (subject to their respective licences).
- Portfolio rights — we reserve the right to reference your project as a case study or in our portfolio, unless you request otherwise in writing.
You may not resell, redistribute, or sublicense deliverables without prior written consent from Amplify Digitize.
10. Confidentiality
Both parties agree to treat all confidential information shared during the engagement with strict confidentiality. "Confidential Information" includes business strategies, financial data, customer data, technical specifications, and any other non-public information. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law. This obligation survives the termination of any agreement between the parties.
11. Disclaimer of Warranties
While we strive to deliver the highest quality of work, Amplify Digitize does not guarantee specific business outcomes such as revenue growth, traffic levels, or ROAS (Return on Ad Spend). Digital marketing results depend on market conditions, platform algorithms, competition, and numerous other factors outside our control. Our services are provided on a professional best-efforts basis.
The website and all content is provided "as is" without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose or non-infringement.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Amplify Digitize shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our services, even if we have been advised of the possibility of such damages. In all cases, our total liability to you shall not exceed the total fees paid by you to Amplify Digitize in the three months immediately preceding the event giving rise to the claim.
13. Termination
Either party may terminate an ongoing engagement with 30 days' written notice. Upon termination, you remain liable for all work performed and costs incurred up to the termination date. We reserve the right to terminate immediately and without notice in cases of non-payment, breach of these Terms, or conduct that violates applicable laws or platform policies.
14. Dispute Resolution
In the event of any dispute arising from these Terms or any Agreement, both parties agree to first attempt resolution through good-faith negotiation within 30 days. If negotiation fails, disputes shall be subject to mediation before being escalated to formal legal proceedings. All disputes shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction vested in the courts of Thane or Mumbai, Maharashtra.
15. Governing Law
These Terms of Service are governed by the laws of the Republic of India. Any legal proceedings arising from or in connection with these Terms shall be instituted exclusively in the competent courts of Maharashtra, India.
